End-User License Agreement

This agreement governs your use of Practice OS, a private web application provided by Physicians' AI Mid-Atlantic, PLLC ("Physicians' AI", "we", "us"). By signing in and using Practice OS, you agree to these terms. If you do not agree, do not use the software.

1. Who may use Practice OS

Practice OS is invitation-only. It is licensed to a medical practice (the "Practice") and may be used only by the individuals the Practice authorizes, whose email addresses appear on our allowlist. There is no public sign-up. Your access may be added or removed at the Practice's request or at ours.

2. License

We grant you a limited, personal, non-exclusive, non-transferable, revocable right to access and use Practice OS for the Practice's internal business purposes, for as long as you remain an authorized user. We retain all rights in the software.

4. Your data stays yours

The Practice owns its data — its accounting records, the patient billing and encounter data it supplies from its medical record, and its employee payroll records. We act only as a service provider: we access the data the Practice authorizes, use it solely to provide Practice OS to the Practice, and do not sell it or use it for advertising. Our handling of that data is described in the Privacy Policy, which forms part of this agreement.

The patient data is protected health information, and we process it as the Practice's business associate under a separate Business Associate Agreement. Where that agreement and this one differ as to protected health information, the Business Associate Agreement controls.

5. Read-only by design

Practice OS reads; it never writes back. It cannot alter the Practice's accounting records, medical record, or payroll system, and it cannot initiate a payment, transfer, or any other financial transaction. Actions that move money, change a patient's record, or file anything remain entirely with you and your professional advisers.

The patient and payroll data are not retrieved by us at all: the Practice exports them from its own systems and supplies the files. We hold no connection to the Practice's medical record or payroll system, and receive only what the Practice chooses to send.

6. Not professional advice

Practice OS presents information to support your own decisions. It does not provide accounting, tax, legal, investment, or medical advice, and it does not replace your accountant, attorney, or clinical judgment. Your books of record — and your accountant of record — remain authoritative. Verify any figure against your accounting system before relying on it for a filing, a valuation, or any other consequential decision.

7. Illustrative data

Parts of Practice OS may display clearly labeled simulated or sample data where a real data source is not yet connected — for example, while an accounting connection is in a test mode, or where a source system has not been integrated. Every such figure is marked in the interface. Do not treat labeled illustrative data as a record of the Practice's activity.

8. Third-party services

Practice OS connects to QuickBooks Online (Intuit Inc.), uses Google Sign-In, and uses Claude, an AI assistant operated by Anthropic PBC, to deliver the features described in section 8a. Your use of those services is governed by their own terms and privacy policies. We are not responsible for their availability, accuracy, or acts. Authorizing the QuickBooks connection requires an administrator of the Practice's QuickBooks company, and it may be revoked at any time from within QuickBooks.

8a. AI-generated content

Some features of the Software use an AI assistant to produce answers, categorisation reviews, recommendations and reports. That output is decision support for the Practice's authorized users. It is not medical, legal, accounting, or tax advice, and it is not a substitute for professional judgment. A human must review AI-generated output before acting on it.

We do not warrant that AI-generated content is accurate or complete, and the Software always provides the underlying records so that any figure can be verified against the Practice's own data. What is and is not sent to the AI assistant — in particular that patient records are not — is set out in section 4 of the Privacy Policy.

9. Availability

Practice OS is provided on an as-available basis. We may modify, suspend, or discontinue any part of it, and we may perform maintenance that makes it temporarily unavailable. We do not commit to any particular uptime unless we have agreed one with the Practice in a separate written contract.

10. Disclaimer of warranties

To the fullest extent permitted by law, Practice OS is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the software will be uninterrupted, error-free, or that any figure it displays is free from error.

11. Limitation of liability

To the fullest extent permitted by law, neither Physicians' AI nor its members, employees, or suppliers will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost revenue, or lost or corrupted data, arising out of or relating to your use of Practice OS — whether based in contract, tort, or any other theory, and even if advised of the possibility. Our total aggregate liability arising out of or relating to Practice OS will not exceed the greater of the amounts paid by the Practice for the software in the twelve months before the event giving rise to the claim, or one hundred United States dollars (US$100).

Some jurisdictions do not allow certain limitations, in which case the limitations above apply to the maximum extent permitted.

12. Termination

You may stop using Practice OS at any time. We may suspend or terminate your access immediately if you breach this agreement, if the Practice withdraws your authorization, or if we discontinue the software. On termination your right to use Practice OS ends; sections 4, 6, 10, 11, and 13 survive.

13. Governing law

This agreement is governed by the laws of the State of Maryland, without regard to its conflict of laws rules. The state and federal courts located in Maryland will have exclusive jurisdiction over any dispute, and you consent to their jurisdiction and venue.

14. Changes to these terms

We may update this agreement. The revised version will be posted at this address with a new effective date, and material changes will be communicated to the Practice before they take effect. Continuing to use Practice OS after a change takes effect means you accept the revised terms.

15. Entire agreement

This agreement and the Privacy Policy are the entire agreement between you and Physicians' AI regarding Practice OS, and supersede any prior understanding on that subject. If the Practice has a separate signed written agreement with us covering Practice OS — including any Business Associate Agreement — that agreement controls to the extent of any conflict. If any provision is held unenforceable, the rest remains in force.
